Introduction
Welcome to PFGsec. By engaging our consulting services, you agree to comply with and be bound by the following terms and conditions. Please read them carefully.
Definitions
- “Services” refers to the cybersecurity consulting services provided by PFGsec.
- “Client” refers to any individual or organization that engages PFGsec for services.
- “Consultants” refers to employees or subcontractors providing services on behalf of PFGsec.
- “Confidential Information” refers to any non-public information disclosed by one party to the other in connection with the services.
Use of Services
- Services are provided only to individuals or organizations that have entered into an agreement with PFGsec.
- You agree to use the services only for lawful purposes and in accordance with these terms and conditions.
- You are responsible for providing accurate and complete information necessary for the provision of services.
Client Responsibilities
- Clients must provide timely access to necessary information, resources, and personnel to facilitate the provision of services.
- Clients agree to cooperate with PFGsec in good faith and provide accurate and complete information.
- Clients must promptly notify PFGsec of any issues or concerns related to the services provided.
Fees and Payment
- Fees for services are clearly stated in the service agreement and are subject to change.
- Payment terms are specified in the service agreement and must be adhered to by the client.
- Late payments may incur additional charges as specified in the service agreement.
Intellectual Property
- All intellectual property created by PFGsec in connection with the services remains the property of PFGsec unless otherwise agreed in writing.
- Clients may not reproduce, distribute, or create derivative works of any intellectual property without the prior written consent of PFGsec.
Confidentiality
- Both parties agree to maintain the confidentiality of any confidential information disclosed during the provision of services.
- Confidential information may only be used for the purposes of fulfilling the service agreement.
- The obligation of confidentiality does not apply to information that is publicly available or rightfully received from a third party without an obligation of confidentiality.
Termination
- Either party may terminate the service agreement at any time, with or without cause, by providing written notice to the other party.
- Upon termination, the client must pay for all services rendered up to the termination date.
- PFGsec reserves the right to suspend or terminate services if the client breaches these terms and conditions.
Disclaimer of Warranties
- Services are provided “as is” and “as available” without any warranties of any kind, either express or implied.
- PFGsec does not warrant that services will be uninterrupted or error-free, or that any issues will be resolved.
Limitation of Liability
- To the fullest extent permitted by law, PFGsec shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided.
- PFGsec’s total liability to the client for any claims arising out of or related to the services shall not exceed the amount paid by the client for the services.
Indemnification
- The client agrees to indemnify, defend, and hold harmless PFGsec and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to the client’s use of the services or violation of these terms and conditions.
Governing Law
- These terms and conditions are governed by and construed in accordance with the laws of the Province of Ontario, Canada.
- Any disputes arising out of or related to these terms and conditions shall be resolved in the courts of Ontario, Canada.
Changes to These Terms and Conditions
- We may update these terms and conditions from time to time. Any changes will be posted on this page, and we will notify you of significant changes by email or through our website.
